Producers earn 90% of all net sales, while Prhymal Rage retains 10% to cover hosting, processing, and marketing costs.

2. Definitions

  • Licensor – The producer or sound designer submitting their original work.
  • Distributor – Prhymal Rage LLC, which handles hosting, marketing, transactions, and payouts.
  • Product – The sound kit or digital content submitted for sale.
  • Net Sales – Actual revenue received after payment-processor fees, refunds, and discounts.
  • Licensor Payout – 90% of Net Sales paid to the Licensor.
  • Distributor Fee – 10% retained by Prhymal Rage to maintain the platform.

3. Grant of Rights

By submitting a sound kit, you grant Prhymal Rage a non-exclusive, worldwide license to host, market, and sell your Product through its website and affiliated digital channels.
You keep full ownership of your content.
We simply manage the distribution, marketing, and delivery.

4. Ownership

You must own or have the proper rights to all material in your kit.
AI-generated or third-party content may only be used if it comes from platforms that grant full commercial resale rights.
You remain the sole owner; Prhymal Rage never claims ownership of your sounds.

5. Quality Control

All submissions are reviewed for originality, sound quality, and organization.
Kits may be declined or removed if they contain copyrighted material, AI-restricted content, or poor-quality files.
Creators can resubmit once issues are corrected.
This process keeps the catalog professional and credible.

6. Compensation

  • Earnings: 90% of every sale (after payment fees).
  • Payouts: Issued monthly via PayPal or direct deposit within an agreed upon payment system.
  • Refunds/Chargebacks: Deducted from future payouts.
  • Taxes: Producers are responsible for their own tax reporting.

7. Term & Termination

Either party may end the agreement with 30 days’ notice.
Producers can request removal of their kits anytime.
Prhymal Rage may remove listings if there are copyright issues, fraudulent activity, or violations of platform policy.
Outstanding payments will still be issued after termination.

8. Marketing Rights

We will never alter your brand or use your image for unrelated promotions.

9. Representations

You confirm that:

  • All sounds are original or cleared for resale.
  • No copyrighted or unlicensed samples are used.
  • You have the right to enter this agreement.
    If your kit contains melodic or compositional works eligible for publishing royalties, those are entirely yours to register with ASCAP, BMI, or other PROs. Prhymal Rage does not collect or manage those royalties.

10. Indemnification

Because you control the content, you agree to take full responsibility if your Product causes any legal disputes (e.g., copyright claims).
Prhymal Rage acts only as a distributor and is not liable for third-party content issues.

11. Accounting & Reporting

Prhymal Rage maintains accurate digital sales records and uses an automated reporting system.
Producers can access near real-time data through their dashboard.
If technical discrepancies occur, official accounting records take precedence, and any errors are promptly investigated and corrected.

12. Pricing & Promotions

Retail pricing is agreed upon collaboratively.
Prhymal Rage may run occasional discounts, bundles, or promotions without affecting your 90% payout rate.
Free distributions (for giveaways or marketing events) require your approval in writing.

13. Legal & Compliance

This Agreement is governed by Ohio law.
Any disputes will first be handled in good faith through direct communication, followed by mediation or arbitration if necessary.
Court proceedings, if ever required, will take place in Lorain County, Ohio.

14. Confidentiality

Both parties agree to keep sensitive business information private — including sales data, marketing plans, and payout records — except where disclosure is required by law.
